1.Agreement to Terms of Use
Welcome to Emozi (the “Platform”), which is provided by Quyun Technology Singapore Pte.Ltd. or one of its affiliates (“Emozi”, “we” or “us”).

You are reading the Terms of Service (the “Terms”), which govern the relationship and serve as an agreement between you and us and set forth the terms and conditions by which you may access and use the Platform and our related applications 、application, services, applications, games, products and content (collectively, the “Services”). Our Services are provided for private, non-commercial use. For purposes of these Terms, “you” and “your” means you as the user of the Services.

The Terms form a legally binding agreement between you and us. If you do not agree to be bound by all of these Terms, do not access or use the Platform or our Services. Please take the time to read these Terms carefully.

Emozi is an AI video generator that helps people create video easily. By accessing this application, you acknowledge that you accept the following terms, especially limitation of liabilities, indemnity and breach of these terms of use. In the event that you do not understand or accept any of the terms herein, please discontinue your use of this.

To the extent permissible by law, we reserve the right to alter these Terms of Use at any time without providing notice. You are responsible for regularly checking for any changes to these Terms of Use. Your continued use of this application after any such changes are released shall be deemed as your acceptance of said changes.

You can accept the Terms by accessing or using our Services. You understand and agree that we will treat your access or use of the Services as acceptance of the Terms from that point onwards.

You should print off or save a local copy of the Terms for your records.

We operate and manage this application from its headquarters in Singapore. Though this application can be accessed from anywhere in the world, the availability of the functions, products, and services discussed, mentioned, supplied, and provided through or on this application may vary by country or region.

Should you choose to visit this application from countries or regions outside the United States, you do so of your own volition and shall use our application only as permitted by local laws.

2.Your Account with Us
To access or use some of our Services, you must create an account with us. If you choose to register for the Service, you agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by the Service's registration form. Registration data and certain other information about you are governed by our Privacy Policy. You must be at least 13 years old to use the Service. In addition, if you are under 18 years old, you may use the Service only with the express consent of your parent or guardian, and you agree to provide true, accurate, current, and complete information as requested by Emozi to confirm such express consent. We may, but are not obligated to, provide a free tier of the Service. You may not create more than one account to benefit from the free tier of the Service. If we believe you are not using the free tier in good faith, we may stop providing access to the Service. If we discontinue the Service, we will refund you any pre-paid fees on a pro rata basis, based upon the number of months left in the pre-payment period.

It is crucial that you maintain the confidentiality of your account password and refrain from disclosing it to any third party. If you are aware of or suspect that any third party has obtained your password or accessed your account, you can reset your password by using the password recovery feature via the verification code sent to your registered email address. Please notify us promptly at [email protected].

You agree that you are solely responsible (to us and to others) for the activity that occurs under your account.
We reserve the right to disable your user account at any time, including if you have failed to comply with any of the provisions of these Terms, or if activities occur on your account which, in our sole discretion, would or might cause damage to or impair the Services or infringe or violate any third party rights, or violate any applicable laws or regulations.

If you no longer want to use our Services again, and would like your account deleted, we can take care of this for you. Please contact us via [email protected], and we will provide you with further assistance and guide you through the process. Once you choose to delete your account, you will not be able to reactivate your account or retrieve any of the content or information you have added.

3.Summary of Provided Services
3.1The service content of this agreement including but not limited to AI video generator and other service content(the "Services") that makes use of artificial intelligence to help user create their own video.

3.2We reserve the right to introduce a subscription-based model in the future. Should we decide to implement such a subscription service, we will provide users with a 30-day advance notice before any changes take effect.

3.3The Platform Services and its software/application encompass information or links to content lawfully acquired by the Platform, as well as other individual services operated legally by the Platform. These services may manifest as distinct sections within the Platform Services and its software.

You acknowledge and consent that the Platform retains the right to periodically augment, diminish, or alter the configurations and services of these specialized sections to align with overall operational needs; furthermore, the Platform reserves the right to modify, discontinue, or terminate the Services and its Software at any time without incurring responsibility or liability for any user damages.

We reserve the prerogative to eliminate, erase, annul, edit, alter, modify, or obstruct your content, in part or whole, for any reason and without prior notification. Platform services may occasionally be interrupted due to scheduled maintenance or updates, emergency repairs, communication link or equipment failures, or any other cause. In such instances, we shall not be held liable for any modifications, suspensions, failures, deactivations, or discontinuations of the Platform Services, or for the loss of your content, or for any other type of damages.

3.4Geographic Limitations. Our intention is not for the information furnished by the Platform Services to be circulated or utilized by individuals or entities within any legal jurisdiction or nation where such circulation or utilization is prohibited by law. We retain the prerogative to, at any moment and solely based on our judgment, impose limitations on access to the entirety or any segment of the Platform Services and its associated software for any individual, region, or legal jurisdiction. In instances where your utilization of the Services contravenes applicable laws and regulations, you are obligated to cease using the Services.

3.5Advertising. You understand and agree that the Platform reserves the right to display commercial advertising, promotions or information (including commercial or non-commercial information) from third party suppliers of the Platform on the Platform Services and its software/applications 、application. You should make your own judgment of the authenticity and reliability of the advertising or promotional information and be responsible for your own judgment. Except as expressly provided by applicable laws and regulations, you shall be solely responsible for any damage or loss caused by the purchase or transaction of the advertising or promotional information or the aforementioned content, and the Platform shall not be liable for such damage or loss.

4.Usage Standards
This application and its Content cannot be used illegally or for any purpose prohibited in these terms of usage, nor can they be used to infringe on the legal rights and interests of other persons or organizations. We reserve the right to bar any such activity. In serious cases, we reserve the right to block your account.Including but not limited to:

1. Do not promote, coordinate or engage in harassment. We do not allow any type of harassing behaviour, including sustained bullying, sexual harassment, ban or block evasion, or coordinating server joins for the purpose of harassing server members.
2. Do not threaten to harm another individual or group of people. This includes direct, indirect and suggestive threats.
3. Do not share or threaten to share the personally identifiable information of an individual without consent. This includes providing services that facilitate doxxing, such as buying or selling doxxes or compiling doxxes for others.
4. Do not use hate speech or engage in other hateful conduct. This includes the use of hate symbols, imagery and claims that deny the history of mass human atrocities.
5. Do not organise, promote or support violent extremism. This also includes coordinating violent acts; glorifying or promoting violence or the perpetrators of violent acts; and promoting conspiracy theories that could encourage or incite violence against others.
6. Do not solicit, share or make any attempt to distribute content that depicts, promotes or attempts to normalise child sexual abuse. Also, do not post content or engage in conduct that in any way sexualises children. This includes real as well as manipulated media, animation (such as lolicon) and any type of digital creation
7. Do not share, distribute or create sexually explicit or sexually suggestive content of other people without the subject’s consent. This includes the non-consensual distribution of intimate media that was created either with or without an individual’s consent.
8. Do not share content that glorifies, promotes or normalises suicide or other acts of physical self-harm. This includes content that encourages others to cut, burn or starve themselves, as well as content that normalises eating disorders, such as anorexia and bulimia. Self-harm acts or threats used as a form of emotional manipulation or coercion are also prohibited.
9. Do not share real media depicting gore, excessive violence or animal harm, especially with the intention to harass or shock others.
10. Do not share content that violates anyone’s intellectual property or other rights.
11. Do not organise, promote or engage in the selling or facilitation of sales of regulated or potentially dangerous goods.
12. Do not coordinate or participate in illegal gambling. Users are responsible for complying with applicable gambling laws and regulation.
13. Do not organise, promote or engage in any other illegal activity, such as human trafficking or sexual solicitation.
14. Do not use the Services to generate images for political campaigns, or to try to influence the outcome of an election.
15. Do not use the Services or the Assets to attempt to or to actually deceive or defraud anyone.

You shall not use any form of device, program, or algorithm, including spiders, robots, deep-links, and page-scrapes, or any identical or similar manual program, to access, obtain, copy, or monitor any part of this application or its Content. Additionally, you shall not visit, obtain, or copy any materials, documents, or information on this application by any method not provided by this application.

You shall not attempt to illegally access, decode, or use any other illegal methods to gain unauthorized access to this application, its Content, or its services. You shall not trace, reverse lookup, decrypt, or decode any customer information on this application, including but not limited to the ID's of users other than yourself.

You shall not violate any of the security mechanisms or authentication measures utilized by or linked to this application. You shall not probe, scan, or otherwise test for any network weaknesses of this application or those linked to it, nor launch any form of attack against it.

You agree not to use any device, software, or program to interfere or attempt to interfere with the regular operation of this application or any transactions performed on this application, or to interfere or attempt to interfere with the use of this application by others. You shall not undertake any actions that store unreasonable or disproportionate amounts of data on this application's infrastructure, system, or network, or on systems or networks that are linked to this application.

Any feedback you provide on this application is regarded as non-confidential. We reserve the right to freely use this information without limitation.

5.Intellectual Property Rights
5.1 All legal rights and interests (including but not limited to intellectual property rights such as copyright, trademark rights, patent rights, as well as trade secrets, and the right to operate this platform and associated applications 、application, etc.) of this platform (including but not limited to all content on the platform and associated applications 、application, audio works, written works, artistic works, UI designs, graphical works, any modifications or updates made to the applications 、application, etc.) are exclusively owned by our company,You may use it for non-commercial purposes.

5.2 During your use of this software and related services, you may submit text, audio, or other content or information (collectively, "Inputs") to the software and related services and receive content generated in response to your Inputs (referred to as "Outputs" or "Generations"). Between you and the company, to the extent permitted by applicable law, the intellectual property rights of the Inputs provided by you belong to you or the rightful owner of these intellectual property rights.

5.3 The company does not claim ownership of the Output content; however, to avoid any doubt, if the Input and/or Output themselves contain content over which the company has intellectual property rights or other legal interests, the respective rights of such Input and/or Output remain with the company, and their ownership is not changed by being included in the Output.

5.4 You understand and agree that for all or part of the information content that you input, generate, publish, or disseminate through this software and related services (collectively, "Information Content"), you grant the company and/or its affiliates a free, worldwide, perpetual license, allowing the company and/or its affiliates to use the Information Content you provide to optimize the model and services. The aforementioned license is transferable and can be sublicensed or relicensed.

You understand and promise that the Inputs shall be content for which you have intellectual property rights or have obtained lawful authorization from the rights holder, and do not contain any content that violates applicable laws and regulations, infringes on the legal rights of others (including but not limited to copyright, patent rights, trademark rights, and other intellectual property rights, as well as personality rights, personal information rights, and other rights), or violates public order and morals.

You can download information presented on this application with regard to our products and services, provided that:

- Said information is can be used for both personal and commercial purposes.
- No alterations of any kind are made to said information.
- No further statements and warranties shall be made with regard to said information or documents containing said information.
- No statements and/or notifications indicating our ownership of and other legal rights and interests with regard to said information shall be removed, in part or in full.

5.5 We makes no representation or warranty regarding the originality of Your Content or that Your Content will not violate or infringe any law or rights of any third parties.You understand and agree that Emozi is not responsible for and shall have no liability with respect to any transactions between you and any third party(ies) with respect to Your Content, which shall be your sole responsibility and you assume all obligations in respect thereof, including obtaining and paying for all necessary rights with respect to Your Content.

5.6 Infringement and Complaints. If you are a copyright owner or its agent and believe that any user content or other content infringes upon your copyright, you may submit a written notification to our designated copyright agent, providing the following information: (a) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works; (b) identification of the material that is claimed to be infringing or to be the subject of infringing activity and information reasonably sufficient to permit us to locate the material and to remove or disable access to it; (c) information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address; (d) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; (e) a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and (f) your physical or electronic signature. 5.7We respect the intellectual property rights of others and expect our users to do the same. If you submit a infringement notification to us, we may contact you if we have additional questions about your report or notification. Please note that Emozi Lab is not in a position to adjudicate disputes between third parties, and may not be able to remove the content or suspend the account you reported. As an alternative, you may want to contact the person who posted the content or owns the account to try to resolve your issue directly.

Some legal jurisdictions do not allow for the limitation of liability. Therefore, the aforementioned restrictions may not be applicable to you.

9.Indemnity
In the event of any third-party request, loss, liability, proposition, or expense (including lawyer's fees) brought against us arising from or relating to your usage of this application, you agree to compensate us, its directors, employees, agents, partners and other licensed persons.

Independent Remedies.The clauses in Article 9 "Limitation of Liabilities" and Article 10 "Indemnity" of this Agreement take effect independently, even if it is determined that said articles and/or clauses are unable to fulfill the intended purpose or be enforced by law. Within the scope permitted by related effective laws, the limitations of liability stipulated in Article 9 and Article 10 herein shall be applied, irrespective of whether the loss is due to (1) breach of contract, (2) breach of guarantee, (3) errors or infringements, including negligence or misrepresentation, (4) strict liability, (5) or any other reasons.

11.Breach of these Terms of Use
You agree that we reserve the rights to terminate your access to this application and/or block you from visiting this application in the event that we deem you to have breached any of these Terms of Use.

If we revoke your access to this application as a result of you having breached these Terms of Use, we assume no liability towards you or any third-party.

You agree that we can solely decide, without prior notification, to terminate your access to all or part of this application's functions, for reasons including but not limited to:

(1) In response to the requests of law enforcement agencies or other government institutions.
(2) In response to your own request.
(3) The suspension or major modification of this application or any of its services.
(4) Unforeseeable technical issues.

12.Applicable Laws and ARBITRATION
The establishment, enforcement, and interpretation of this Agreement, as well as the resolution of disputes related thereto, shall be governed by and construed in accordance with the laws of Singapore.

Should any dispute arise concerning the content or execution of this Agreement, both parties agree to first seek resolution through amicable negotiation. If the parties fail to resolve the dispute through negotiation, they agree to submit the dispute to arbitration in Singapore, in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC") in force at the time of arbitration, as modified by these Terms.

The arbitration shall take place in Singapore, and the language of the arbitration shall be English. The arbitration award shall be final and binding upon both parties.

13.Miscellaneous
These Terms of Use constitute the full Agreement between yourself and us with regard to your usage of this application, and they replace any and all prior written or oral agreements between yourself and us with regard to usage of this application. Notwithstanding the stipulations of other agreements signed between yourself and us, we will not accept any counter-offers with regard to these Terms of Use, and hereby expressly refuse all counter-offers.

If we fail to uphold or demand the strict execution of these Terms of Use, this should not be deemed as a waiver on the part of our rights pertaining to the execution of these Terms of Use, or the Terms of Use themselves. No action taken between us and yourself or a third-party should be deemed as an alteration to any of the stipulations of these Terms of Use.

Modifications to the Services. The Company has the right, at any time and without liability, to modify, alter, update or eliminate the features, navigation, appearance, functionality and other elements of the Services, and any aspect, portion or feature thereof, including to modify the Third Party Software you are able to access via the Services.

California Residents. If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
